Senpi Terms of Service

Welcome to Senpi, a service provided at https://senpi.ai by Senpi AI Inc., a Delaware corporation (“Senpi,” “we,” “us,” or “our”). These Terms of Service ("Terms") govern your use of Senpi’s services, including senpi.ai, the Senpi mobile app, associated trading tools, autonomous agents, and integrations with onchain protocols such as Hyperliquid (collectively, the "Service"). By using the Service, you agree to these Terms.

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, discontinue use immediately.

Where applicable, consumer rights under local law remain unaffected. Certain provisions (e.g., indemnification, warranty disclaimers, liability limits) apply only to the fullest extent permitted.

2. Description of Service

Senpi is an AI-powered onchain trading assistant providing:

• Creation and management of non-custodial Agent Wallets
• Automated execution, on Hyperliquid and connected protocols, of the trades, strategy rules, leverage, and risk parameters you configure and authorize — including perpetual futures referencing crypto assets and perpetual futures referencing equities, commodities, and indices
• Strategy mirroring and copy trading of traders you select, and optional strategy templates, on protocols such as Hyperliquid, including perpetual futures
• AI-generated data, analytics, automations, notifications, and developer-integrated skills (presented for your interpretation)
• Risk-management tools you may enable, such as stop-loss, dynamic/ratchet stops, and profit ladders

Senpi does not take custody of funds, does not exercise independent investment discretion beyond the parameters you set, and does not provide financial, legal, investment, or tax advice or any trading suggestion or recommendation. AI features present data and analytics for you to interpret and act on at your own discretion.

3. Privacy Policy

Our data practices are governed by the Senpi Privacy Policy.

4. Modifications to Terms or Services

We may update these Terms from time to time. Material changes will be communicated via the Service, email, or other reasonable means.

We may modify or discontinue any portion of the Service without notice.

Continued use constitutes acceptance of updated Terms, except where applicable law requires affirmative consent.

5. Eligibility

You may use the Service only if:

• You are at least 18 years old
• You are legally able to enter into binding contracts
• Your use is permitted in your jurisdiction

The Service is not directed to anyone under 18, and we do not knowingly collect personal information from anyone under 18.

6. User Responsibilities

By enabling automated execution, you authorize Senpi to execute the trades, rules, and parameters you configure from your wallet, as described in Section 25 (Trading Terms & Risk Disclosures).

You are solely responsible for funding your wallets and for all resulting trades.

All blockchain transactions are final and irreversible.

Senpi’s access to your wallets is limited to the delegated access described in Section 25 (Trading Terms & Risk Disclosures), used solely to execute the strategies and parameters you configure. Senpi cannot recover your private keys or credentials and cannot reverse confirmed on-chain transactions.

7. Fees

Senpi charges 0.05% on all perpetual futures auto-trades on Hyperliquid. This 0.05% Senpi fee is exclusive of Hyperliquid’s own trading fees (maker/taker, builder fees, activation fees, etc.).

• No recurring platform fees
• All Senpi auto-trading features are included at no additional charge, including but not limited to: Discovery, Auto-Trading, AI Intelligence, Limit Orders, Stop Losses, Dynamic Stop Loss, Profit Ladders.
• Unlimited AI queries at no cost
• Additional blockchain-level or protocol-level fees may apply depending on network or protocol usage

8. Use of the Services

a. No Professional Advice

Information provided is not investing, legal, or tax advice.

b. No Fiduciary Duties

We do not owe you fiduciary duties.

c. Release

You release Senpi AI Inc. from disputes between users.

d. Suspension or Termination

We may suspend or terminate access at any time.

e. Asset Ownership

You remain solely responsible for your private keys.

f. Security

You are responsible for securing devices, wallets, and accounts.

g. Taxes

You are solely responsible for tax obligations.

h. Sanctions Compliance

You represent you are not located in or associated with sanctioned jurisdictions.

i. Trading Activities

We do not guarantee execution speed, fill quality, slippage, uptime, or profitability.

9. Anti-Money Laundering & Counter-Terrorism Financing

You agree not to use the Service for unlawful financial activity.

We may request KYC information and report suspicious activity.

Any personal information collected for compliance purposes will be handled in accordance with our Privacy Policy and applicable privacy laws, including the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), where applicable.

10. Non-Custodial & Protocol Disclaimer

Senpi is fully non-custodial.

We do not control blockchain networks, Hyperliquid, or smart contracts.

All transactions occur directly between you and underlying protocols.

We do not provide brokerage, custody, exchange, clearing, or settlement services.

11. Third-Party Skills & Integrations

Use of third-party skills is at your own risk. We disclaim liability for third-party services.

12. User Content

You retain ownership of content you submit but grant us a license to use it for Service operations.

13. Prohibited Conduct

You may not:

• Engage in unlawful, harmful, fraudulent, or deceptive behavior
• Circumvent security controls
• Attempt unauthorized access to accounts or systems
• Scrape or manipulate market data
• Interfere with the Service

We may enforce restrictions as needed.

14. Account Deletion

You may delete your account at any time. Prior transactions remain permanently onchain.

15. Tokens & Airdrops

Use of the Service does not obligate Senpi AI Inc. to provide tokens or distributions.

16. Senpi Points Program

Senpi may, from time to time, offer users the ability to earn or receive promotional points (“Points”) in connection with their use of the Service, including trading activity.

Points are not property, have no inherent monetary value, and do not constitute currency, virtual currency, securities, or any form of financial instrument. Points do not represent any ownership interest, equity, or right to profits, and are not redeemable for cash or cash equivalents.

At Senpi’s discretion, Points may be used to enable access to certain features, promotional benefits, discounts, or eligibility for potential future programs, including airdrops. Any such uses are entirely discretionary, may be modified or discontinued at any time, and are subject to additional terms.

Senpi reserves the right, in its sole and absolute discretion, to withhold, deny, suspend, adjust, or revoke Points (including retroactively) in cases of suspected or actual farming, wash trading, manipulation of trading activity, abuse or misuse of AI systems, attempts to circumvent controls, or any activity that Senpi determines to be harmful, abusive, unfair, or detrimental to the integrity, fairness, or health of the network or the Service.

Senpi makes no guarantees regarding the availability, quantity, duration, or continued operation of the Points program, and the Points program may be terminated at any time without notice.

16A. Referral and Rewards

Senpi may offer referral or rewards programs under which you may earn a portion of fees or other benefits. Participation and any rewards are discretionary, may be modified, suspended, or terminated at any time, and may be withheld, adjusted, or revoked (including retroactively) in cases of suspected abuse, self-referral, wash trading, or other manipulation. Rewards have no guaranteed value, and you are solely responsible for any taxes arising from amounts you receive.

17. Third-Party Services

External resources are provided as a convenience. Their use is at your own risk.

18. Ownership

All intellectual property in the Service belongs to Senpi AI Inc. or its licensors.

Feedback becomes Senpi AI Inc.’s property.

19. Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Service is provided “AS IS.”

IN NO EVENT SHALL SENPI AI INC. BE LIABLE for indirect, incidental, consequential, special, or punitive damages.

EXCEPT WHERE PROHIBITED BY LAW, Senpi AI Inc.’s total liability shall not exceed $100.

This limitation does not apply to liability arising from gross negligence, willful misconduct, or violations of applicable consumer protection statutes where such limitation is prohibited.

You assume all blockchain-related risks, including volatility, smart contract bugs, and protocol failures.

20. Indemnification

You agree to defend, indemnify, and hold harmless Senpi AI Inc., its affiliates, and its and their respective officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your access to or use of the Service, including any trades, transactions, or strategies executed through Agent Wallets or third-party protocols;
• Your violation of these Terms, any applicable law or regulation, or any rights of a third party;
• Any content, data, prompts, instructions, or signals you submit, transmit, or cause to be processed through the Service;
• Your interaction with, reliance on, or use of third-party services, protocols, or integrations, including onchain protocols such as Hyperliquid;
• Any allegation that your conduct, content, or use of the Service caused harm, financial loss, regulatory inquiry, or legal exposure to any third party; or
• Your failure to comply with tax, reporting, sanctions, or regulatory obligations applicable to your activities.

Senpi AI Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defense. You may not settle any claim that imposes any liability, obligation, or admission on Senpi AI Inc. without Senpi AI Inc.’s prior written consent.

This indemnification obligation survives termination or suspension of your access to the Service.

21. Arbitration & Dispute Resolution

Binding Arbitration; Waiver of Class Actions

Except as described below, all disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Opt-Out Right:

You may opt out of arbitration by sending written notice to support@senpi.ai within 30 days of first accepting these Terms. Opting out will not affect your ability to use the Service.

Class Action Waiver:

You agree that disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action.

Governing Law for Arbitration:

The Federal Arbitration Act governs this arbitration agreement.

Survival:

This section survives termination of these Terms.

22. Additional Legal Terms

• Governing Law: Except as otherwise required by applicable law, these Terms are governed by the laws of the State of New York. For California residents, California law applies to claims arising under California consumer protection statutes.
• Force Majeure: Not liable for events outside our control
• Severability: Invalid provisions are removed without affecting the rest
• Export Compliance: You agree to comply with U.S. export laws

23. California Residents

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to:

• Know what personal information we collect and how it is used
• Request deletion or correction of personal information
• Opt out of the sale or sharing of personal information, if applicable
• Not be discriminated against for exercising privacy rights

25. Trading Terms & Risk Disclosures

This section governs trading through Senpi — including automated execution, wallets and keys, the products available, strategies, and the risks of leveraged perpetual-futures and related trading on Hyperliquid and connected protocols. It applies whenever you trade or run strategies through Senpi.

Automated Trading Authorization

By creating a Senpi account, you authorize Senpi to execute trades and manage positions through automated execution within the wallets generated for your account, solely in accordance with the strategies, rules, levers, and parameters you configure. Trades occur only for strategies you create and fund and only within the parameters you set; you may pause or close your strategies at any time through the Service, and orders already submitted to the underlying protocol cannot be cancelled by Senpi. This authorization is limited to trading actions and does not permit Senpi to transfer or withdraw funds to any external address. Any withdrawal of funds is initiated by you and may be made only from your main funding wallet. You remain responsible for monitoring your strategies, positions, and margin.

Wallets, Keys, and Signing Authority

Senpi provisions for you a non-custodial embedded wallet and one or more isolated strategy sub-wallets, with wallet and signer infrastructure provided by Privy (privy.io). You retain beneficial ownership of all assets in these wallets, and Senpi does not commingle them with its own funds, nor lend, rehypothecate, or otherwise encumber them. To carry out the trades, strategy rules, and parameters that you configure and authorize, Senpi operates delegated access to the signing capability for these wallets, limited to executing the instructions and parameters you have set. Senpi acts solely as an execution agent for the rules you define and exercises no independent investment discretion beyond them. This delegated access is used only for trading actions within your wallets and does not permit Senpi to transfer or withdraw funds to any external address. Senpi cannot recover your private keys or credentials and cannot reverse confirmed on-chain transactions.

AI Outputs and Automated Execution

The Service’s AI features present data, analytics, and informational outputs for you to interpret. They do not provide trading suggestions, recommendations, signals to act, or investment, financial, legal, or tax advice, and nothing in the Service is a solicitation to buy or sell any asset. You acknowledge that: (a) AI and data outputs are informational only, are probabilistic, and may contain errors, omissions, outdated information, or bias, and you are solely responsible for independently interpreting them and for deciding whether and how to act; (b) the Service executes only the rules and parameters you configure and authorize and exercises no independent investment discretion; (c) automated execution may, in volatile or adverse conditions, result in significant losses, including total loss of margin and liquidation; and (d) whether you trade manually or through automated execution, you are solely responsible for all trades, decisions, and outcomes in your wallets. Senpi does not guarantee the accuracy, reliability, availability, or profitability of any data, output, strategy, or execution.

Strategies, Templates, and Copied Traders

The Service may offer pre-built strategy templates, tools to author your own strategies, and the ability to copy or mirror other traders you select. Senpi does not endorse, verify, or guarantee the performance, accuracy, or suitability of any strategy, template, or trader, whether provided by Senpi or by third parties, and any displayed past performance is informational only and does not predict future results. You select and authorize any strategy or trader you use and assume all associated risk. Senpi may modify, suspend, or discontinue any strategy, template, model, or copy relationship at any time, in which case affected automated execution may be paused and you are responsible for managing your open positions.

High-Risk Nature of Perpetual Futures

Perpetual futures are high-risk. You acknowledge:

• You may lose 100% of your margin
• Leverage amplifies gains and losses
• Market conditions can change instantly
• Auto-trading does not guarantee profitability

Trade only what you can afford to lose.

Equities, Commodity, and Index Perpetuals

The Service provides access to perpetual contracts that reference equities (e.g., TSLA, NVDA), commodities (e.g., gold), and market indices. You acknowledge that: (a) these are synthetic, leveraged derivative exposures settled in stablecoins and do not constitute ownership of, or any voting, dividend, or other shareholder or creditor right in, any underlying security, commodity, or fund; (b) they may be subject to regulatory requirements, trading-hour limitations, corporate actions, halts, and settlement mechanics that differ materially from native crypto assets and that Senpi does not control; (c) Senpi is not a broker, dealer, exchange, investment adviser, or regulated intermediary with respect to any such product, and does not solicit or recommend any transaction; and (d) you are solely responsible for determining whether your access to and trading of these products is lawful in your jurisdiction. Nothing in the Service is an offer or solicitation to buy or sell any security or regulated instrument.

Liquidation Risk

Liquidation occurs when your equity falls below maintenance margin.

Hyperliquid may force-close your position at market prices.

You acknowledge:

• Liquidation is irreversible
• Slippage may occur
• Hyperliquid may use remaining wallet balance to cover deficits

Risk-Management Features Are Not Guaranteed

Risk-management features you enable or configure — including stop-loss, dynamic or trailing stop-loss, ratchet stops, profit ladders, take-profit, daily-loss halts, and drawdown circuit breakers — are provided on a best-effort basis and are not guaranteed. They may fail to execute, may execute at prices materially different from the trigger (including due to price gapping, slippage, low liquidity, oracle behavior, protocol downtime, or liquidation), and do not guarantee any maximum loss or outcome. You may lose your entire margin notwithstanding any such feature.

Mirroring Behavior, Not Results

Senpi mirrors trader actions, not outcomes.

Differences may occur in:

• Entry and exit prices
• Execution timing
• Slippage
• Partial fills or TWAPs

No guarantee is made that mirrored performance matches trader performance.

Fees & Protocol Costs

You are responsible for:

• Hyperliquid maker/taker fees
• Builder fees
• $1 HyperCore activation fee per new strategy wallet
• External-chain withdrawal fees
• Network routing fees

Internal Hyperliquid transfers are free but may still trigger activation logic.

Partial Fills, TWAPs & Execution Effects

Many HL traders scale in/out gradually. You understand:

• Your position may update in increments
• Blended prices may vary from the trader’s
• Senpi may batch updates to reduce notification spam

Margin Shortfalls

If insufficient funds are available:

• Senpi may skip a mirrored action
• Strategies may pause until balance is replenished

Protocol Risks

You acknowledge risks inherent to onchain protocols:

• Network congestion
• Smart contract bugs
• Builder outages
• Delayed or failed transactions

Cross-Chain Bridging and Third-Party Infrastructure

Moving funds into, within, and out of the Service may require cross-chain bridging across multiple networks, performed by Senpi and/or third-party bridge and wallet-infrastructure providers (cross-chain bridging is currently provided by Relay, relay.link). You acknowledge that: (a) bridging is not instantaneous and is subject to network conditions, provider availability, and failure, and funds may be delayed in transit or, on a third-party provider failure, lost; (b) sending assets on an unsupported network, or to an address other than as directed by the Service, may result in permanent loss; and (c) subject to its exercise of reasonable care in selecting and overseeing such providers, Senpi bears no liability for losses arising from the acts or omissions of any third-party bridge or wallet-infrastructure provider.

Trader Behavior Changes

Past performance does not predict future results. Traders may alter risk, strategy, or behavior without notice.

Assumption of Risk

By enabling Senpi perps trading, you accept full responsibility for all trading outcomes. Senpi makes no performance guarantees.

Senpi Trading Competition – Terms

No purchase or payment is required to enter or win. The competition is open to individuals who are at least 18 years old and located in permitted jurisdictions, and is void where prohibited. By participating, you confirm that you are not located in or a resident of any sanctioned jurisdiction and are not listed by the Office of Foreign Assets Control.

Participants compete by trading via Senpi’s interface or MCP server. All trades are executed on third-party infrastructure - Hyperliquid. Senpi does not custody funds, execute trades on behalf of users, or act as a broker, counterparty, or investment advisor. Performance is measured based on Senpi-defined metrics (such as PnL or returns), and Senpi may adjust scoring, rankings, or eligibility to ensure fairness and prevent abuse, including multi-accounting, wash trading, or other manipulative behavior.

Winners will be determined based on these metrics and must complete identity verification, compliance checks, and required tax documentation (such as IRS Form W-9 for U.S. persons) through a third-party provider as a condition of receiving any prize. Failure to complete verification within a reasonable timeframe may result in disqualification and selection of an alternate winner. Winners are responsible for any applicable taxes.

This competition is for promotional purposes only and does not constitute financial advice. Trading involves risk, including potential loss of funds. Senpi is not responsible for trading losses, technical issues, or failures of third-party systems. Senpi reserves the right to modify, suspend, or terminate the competition or disqualify participants at its sole discretion.
